These terms govern your access to and use of WChat, the WhatsApp team inbox service operated by NiceDial Tech. By creating an account or using the service, you agree to these terms.
1. The service
WChat provides a web-based shared inbox and related tools to connect your organisation to the Meta WhatsApp Business Platform, manage conversations, team members, templates, campaigns, and integrations. Features may change over time. We may add, modify, or discontinue features with reasonable notice where practicable.
2. Eligibility and accounts
You must be at least 18 years old and authorised to act on behalf of your organisation. You are responsible for keeping login credentials confidential and for all activity under your account. Information you provide during registration must be accurate and kept up to date.
3. Acceptable use
You agree not to use WChat to:
- Send spam, unsolicited messages, or content that violates applicable law;
- Harass, defraud, or impersonate others;
- Transmit malware or attempt unauthorised access to our systems or third-party accounts;
- Circumvent Meta WhatsApp policies, rate limits, or messaging rules;
- Process personal data without a lawful basis and appropriate notices to data subjects.
We may suspend or terminate access if we reasonably believe you have breached these terms or put the service, other users, or Meta’s platform at risk.
4. WhatsApp and Meta
Your use of WhatsApp messaging through WChat is also subject to Meta’s WhatsApp Business Platform terms, policies, and pricing. You are responsible for obtaining and maintaining any required Meta business approvals, phone numbers, and compliance with opt-in, template, and commerce rules. NiceDial Tech is not Meta and does not control Meta’s services.
5. Fees and wallet
Certain plans, message credits, or add-on services may be subject to fees displayed at signup or in your dashboard. Unless stated otherwise, fees are exclusive of taxes. Prepaid wallet balances and promotional credits are non-refundable except where required by law or explicitly stated in writing. Meta may charge separate conversation fees per its own pricing.
6. Your content and data
You retain ownership of content and customer data you submit through WChat. You grant NiceDial Tech a limited licence to host, process, and transmit that content solely to provide and improve the service, comply with law, and enforce these terms. Our handling of personal data is described in our privacy policy.
7. Intellectual property
WChat, its software, branding, and documentation are owned by NiceDial Tech or its licensors. These terms do not grant you any right to use our trademarks except as needed to identify your lawful use of the service.
8. Availability and support
We aim to keep WChat available but do not guarantee uninterrupted or error-free operation. Maintenance, third-party outages (including Meta or hosting providers), and events beyond our reasonable control may affect availability. Support is provided on a commercially reasonable basis according to your plan.
9. Disclaimer
To the fullest extent permitted by law, WChat is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will meet your requirements or that message delivery through WhatsApp will always succeed.
10. Limitation of liability
To the maximum extent permitted by law, NiceDial Tech and its directors, employees, and suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising from your use of WChat. Our aggregate liability for any claim relating to the service shall not exceed the fees paid by you to NiceDial Tech for WChat in the twelve (12) months before the event giving rise to the claim, or INR 10,000 if no fees were paid, whichever is greater.
11. Termination
You may stop using the service at any time. We may suspend or terminate your account for breach of these terms, non-payment, legal requirement, or extended inactivity. Upon termination, your right to access WChat ends. Provisions that by nature should survive (including liability limits, intellectual property, and governing law) will continue to apply.
12. Changes to these terms
We may update these terms from time to time. We will post the revised version on this page and update the “Last updated” date. Material changes may be communicated by email or in-product notice where appropriate. Continued use after changes take effect constitutes acceptance of the updated terms.
13. Governing law
These terms are governed by the laws of India. Courts at Gurgaon, Haryana shall have exclusive jurisdiction, subject to any mandatory consumer protection laws in your jurisdiction.
